Terms of Service

Welcome to Holoview Media ("Holoview," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Holoview platform located at holoviewmedia.com, including our web dashboard, ad player, APIs, and related services (collectively, the "Service"). Our Service is hosted in the United States and intended solely for users located in the United States.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Advertiser" — A user who creates and funds advertising campaigns to be displayed on screens within the Holoview network.
  • "Host" — A user who registers one or more physical display screens to show advertisements and earn revenue.
  • "Screen" — A physical display device (e.g., TV, monitor) paired to the Holoview network via a host's account.
  • "Campaign" — An advertising order consisting of creative media, targeting preferences, duration, and associated budget.
  • "Play" — A single confirmed display of an advertisement on a screen, tracked by the platform.
  • "Wallet" — The in-platform balance associated with a user's account, denominated in U.S. dollars.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement. By registering, you represent that the information you provide is accurate and complete. Accounts are for individual or business use; you may not create accounts on behalf of others without authorization.

3. Account Registration

To access the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use.

We may require email verification before granting access to certain features, including ad creation and fund withdrawals.

4. Advertiser Terms

4.1 Campaign Creation

Advertisers may create campaigns by uploading media (images or silent video), selecting target categories, screen locations, and scheduling parameters. All campaigns are subject to our content guidelines and automated moderation.

4.2 Pricing and Billing

Pricing is determined dynamically by our pricing engine, which considers factors including screen demand, time of day, day of week, tier level, and market conversion trends. Prices are displayed at the time of campaign creation and are locked in for the campaign duration once confirmed.

You will only be charged for confirmed plays. Unspent budget may be refunded to your wallet under the applicable refund policy. Wallet funds are non-refundable to your original payment method and do not expire, unless otherwise required by law. If an account has no campaign or login activity for twelve (12) consecutive months, Holoview reserves the right to assess a monthly inactivity fee against the Wallet balance until it reaches zero, subject to applicable unclaimed property laws.

4.3 Wallet and Payments

Advertisers fund their accounts by depositing money into their wallet. Funds are deducted on a per-play basis as ads are displayed. Wallet balances are non-transferable between accounts. We reserve the right to adjust wallet balances in the event of billing errors, fraud, or platform issues, with appropriate documentation.

If you initiate a chargeback or payment dispute with your credit card issuer for validly delivered ad campaigns, Holoview reserves the right to immediately suspend your account, dispute the chargeback, and pursue collections for the outstanding balance plus any associated bank dispute fees.

4.4 Content Standards

You are solely responsible for the content of your advertisements. All submitted content is subject to automated moderation and may be manually reviewed by our team. We reserve the right to reject, suspend, or remove any content that:

  • Contains adult content, nudity, or sexually explicit material
  • Contains violent or hateful material
  • Promotes illegal products, services, or activities
  • Infringes on intellectual property rights of third parties
  • Is misleading, deceptive, fraudulent, or for any other reason at our sole discretion

Rejected ads will not be charged. Repeated violations may result in account suspension or termination.

4.5 Cancellation and Refund Schedule

If you cancel an active campaign, unspent budget is refunded to your Wallet according to the following tiered schedule based on how far in advance each booked slot is cancelled:

  • More than 24 hours before scheduled play: 90% refund (10% non-refundable booking fee)
  • 1–24 hours before scheduled play: 50% refund
  • Less than 1 hour before scheduled play: No refund (0%)

This policy is designed to prevent inventory hoarding and spamming. If a Host removes a screen that your campaign is booked on, you will receive a 100% refund for all affected future slots on that screen. Refunds are credited to your Wallet balance, not to your original payment method.

5. Host Terms and Venue Agreement

5.1 Screen Registration and Compliance

Hosts may register physical screens by pairing them with the platform using a unique pairing code. By registering a screen, you represent that you own the premises or have legal authority from the property owner to install and display content on that device at the specified location.

The Host is solely responsible for ensuring the installation and operation of the screen complies with all local zoning laws, municipal signage ordinances, and lease agreements. The Host agrees to indemnify Holoview against any municipal fines or penalties arising from the screen's placement.

5.2 Hardware Provision and Ownership

Bring Your Own Device (BYOD): Hosts may use their own compatible display screens and media players to access the Service. Holoview is not responsible for the maintenance, repair, or replacement of any host-owned hardware. Holoview explicitly disclaims any liability for screen burn-in, image retention, or deterioration of the Host's personal hardware resulting from displaying advertisements.

Holoview-Provided Hardware: At our sole discretion, Holoview may provide hosts with hardware (which may include display screens, media players such as Raspberry Pis, mounts, and cables). If Holoview provides hardware: (a) The hardware remains the exclusive property of Holoview Media unless otherwise agreed upon in writing; (b) You agree to keep the hardware in a secure, climate-controlled environment safe from theft or intentional damage; (c) You are liable for the replacement cost of any Holoview-owned hardware that is lost, stolen, or damaged due to gross negligence or intentional misconduct while in your possession.

Holoview is not responsible for any damage to your personal property, including your TVs, monitors, walls, or underlying electrical systems, resulting from the installation or use of the Service or our hardware.

5.3 Power, Connectivity, and Audio

Hosts are entirely responsible for providing continuous electrical power and a stable Wi-Fi or Ethernet internet connection to the display device and media player at the host's own expense. Holoview is not responsible for connectivity issues, hardware failures, or power outages at host locations. You agree not to tamper with, reverse engineer, or alter the software or hardware provided by Holoview. All campaigns are visual only and Hosts must mute display audio at all times.

5.4 Revenue Share, Taxes, and Payouts

Hosts earn a percentage of the revenue generated from ad plays on their screens. The current default revenue share is set by the platform and visible in your dashboard. Holoview reserves the right to adjust the revenue share percentage with reasonable notice.

Host earnings accumulate in the platform wallet. Withdrawals are processed via Stripe Connect and are subject to minimum thresholds. Payment processing services for Hosts are provided by Stripe and are subject to the Stripe Connected Account Agreement. You are solely responsible for reporting and paying all applicable local, state, and federal taxes on your earnings. Holoview or our payment processor may issue a 1099-K if your earnings exceed IRS reporting thresholds. We reserve the right to pause or withhold Host payouts if you fail to provide required tax documentation (e.g., an IRS Form W-9) upon request.

5.5 Screen Availability and Performance

Hosts must keep their screens powered on and connected during their stated business hours. The platform automatically tracks screen uptime and reliability, which directly impacts ad routing and your earnings. Persistent offline status may result in your screen being temporarily paused or permanently de-listed from the network.

5.6 Content Control

Hosts may block specific ad categories, individual advertisers, or specific ads from displaying on their screens using the blacklist feature. However, hosts may not interfere with, cover, or obstruct the normal display of approved, non-blocked advertisements.

5.7 Removal and Termination

To terminate your participation as a Host, you must provide written notice or delete your screen via the dashboard. Upon termination, you agree to promptly return any Holoview-owned hardware (if applicable) using a provided prepaid shipping label. If Holoview-owned hardware is not returned within 14 days of termination, Holoview reserves the right to deduct the replacement cost from your pending wallet balance, charge any payment method you have on file, or issue a legally binding invoice for the fair market replacement value of the equipment.

5.8 Independent Contractor Status

Hosts are strictly independent contractors and are not employees, partners, agents, or franchisees of Holoview Media. Hosts have no authority to bind Holoview Media to any agreements or obligations.

6. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to manipulate play counts, impressions, or QR scans
  • Falsify screen locations, misrepresent business hours, or otherwise mislead advertisers
  • Interfere with the Service's infrastructure or security
  • Scrape, reverse engineer, or copy any part of the platform
  • Create multiple accounts to circumvent platform rules or limits
  • Impersonate another person or entity
  • Upload malware or malicious code

7. Intellectual Property

The Holoview platform, including its design, code, branding, and documentation, is owned by Holoview Media and protected by intellectual property laws. You retain ownership of content you upload (ad media, business information) but grant Holoview a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to display, distribute, and transmit that content through the Service for the purpose of fulfilling your campaigns.

By uploading content, you represent and warrant that you own or have the necessary licenses, rights, and permissions to use and authorize Holoview to display that content, and that it does not infringe on the rights of any third party.

Publicity: Holoview reserves the right to use Advertiser and Host business names and logos in our promotional materials and website to identify you as a user of the Service, unless you explicitly opt out in writing by contacting us.

8. Copyright & DMCA Policy

We respect the intellectual property rights of others. If you believe any content hosted on our platform infringes your copyright, please send a valid DMCA takedown notice to our designated agent:

Your notice must contain: (1) a description of the copyrighted work; (2) where the material is located on our platform; (3) your contact information; (4) a statement of good faith belief that the use is not authorized; and (5) your physical or electronic signature.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted or error-free operation, specific play counts, revenue amounts, or campaign performance. Dynamic pricing, play frequency, and earnings are estimates and may vary based on market conditions, screen availability, and other factors.

10. Limitation of Liability

To the maximum extent permitted by law, Holoview Media and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Holoview in the twelve (12) months preceding the claim, or one hundred U.S. Dollars ($100), whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Holoview Media and its affiliates from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Account Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our discretion. Upon termination:

  • Active campaigns will be stopped and unspent budget refunded to your wallet
  • Pending host payouts will be processed within a reasonable timeframe
  • Your data may be retained as required by law or for legitimate business purposes

You may delete your account at any time through the dashboard. Account deletion is permanent and cannot be reversed.

13. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.

Please read this section carefully as it affects your legal rights, including your right to file a lawsuit in court. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in Nashville, Tennessee, before one arbitrator. Judgment on the Award may be entered in any court having jurisdiction.

Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in a small claims court of competent jurisdiction.

Class Action Waiver: You and Holoview agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. Neither you nor Holoview will seek to have any dispute heard as a class action, a representative action, a collective action, or in any proceeding in which either party acts or proposes to act in a representative capacity.

15. General Provisions

Force Majeure: Holoview shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, internet backbone failures, or third-party service outages.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement: These Terms constitute the entire agreement between you and Holoview regarding the Service and supersede all prior or contemporaneous written or oral agreements.

Survival: All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Assignment: Holoview may freely assign or transfer these Terms and its rights and obligations hereunder, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. You may not assign or transfer your rights under these Terms without our prior written consent.

Holoview Media ("Holoview," "we," "us," or "our") respects your privacy. This Privacy Policy describes how we collect, use, disclose, and protect your information when you use our platform at holoviewmedia.com and related services.

1. Information We Collect

1.1 Information You Provide

  • Account Information: Email address, password, business name, phone number, and street address when you register
  • Ad Content: Images, silent videos, headlines, URLs, and phone numbers submitted for advertising campaigns
  • Screen Information: Screen name, location, category, business hours, and timezone
  • Financial Information: Wallet deposits, withdrawal requests, transaction history, and necessary tax identification documentation (such as an IRS Form W-9) for Hosts. Note: Payment processing is handled securely by our third-party provider (Stripe). We do not store full credit card numbers or bank account routing details on our servers.

1.2 Information Collected Automatically

  • Usage Data: Pages visited, features used, timestamps, and actions taken within the platform
  • Device Information: Browser type, operating system, screen resolution, and IP address
  • End-User QR Activity: When a member of the public scans a Holoview QR code, our servers log limited technical data (IP address, device type, timestamp) strictly for ad routing, conversion analytics, and fraud prevention.
  • Ad Performance Data: Play counts, QR scan events, impression timestamps, and screen heartbeat data

1.3 Hardware Cameras and Biometrics Disclaimer

Holoview Media hardware (such as our provided media players) does not contain cameras or microphones and does not capture audio, video, or biometric data of individuals at Host locations.

2. How We Use Your Information

We use the information we collect to:

  • Provide, maintain, and improve the Service
  • Process transactions and manage wallet balances
  • Deliver and track advertising campaigns
  • Calculate host earnings and revenue share
  • Detect and prevent fraud, abuse, and policy violations
  • Send transactional emails (verification, password reset, notifications)
  • Optimize pricing through our dynamic pricing engine
  • Comply with legal obligations

3. Information Sharing

We do not sell your personal information. We may share your information in the following circumstances:

  • With Service Providers: Third-party services that help us operate the platform, including payment processing (Stripe), email delivery (SendGrid), content moderation, and hosting infrastructure (DigitalOcean)
  • Screen Listings: While a Host's personal home address is kept private, the registered public business address, operating hours, and venue name of a screen are explicitly shared with Advertisers to facilitate campaign targeting.
  • Legal Requirements: When required by law, court order, or governmental authority
  • Business Transfers: In connection with a merger, acquisition, or sale of assets
  • With Your Consent: When you explicitly authorize sharing

4. Data Security

We implement industry-standard security measures to protect your data, including:

  • HTTPS encryption for all communications
  • Hashed and salted password storage
  • JWT-based authentication with short-lived access tokens
  • Rate limiting on sensitive endpoints
  • Content Security Policy (CSP) headers

While we strive to protect your information, no method of transmission or storage is 100% secure. You are responsible for maintaining the security of your account credentials.

5. Data Retention

We retain your data for as long as your account is active or as needed to provide the Service. After account deletion:

  • Personal information is removed or anonymized within 30 days
  • Transaction records and ad play history may be retained for up to 3 years for legal and accounting purposes
  • Aggregated, non-identifiable data may be retained indefinitely for analytics

6. Your Rights

Depending on your jurisdiction, you may have the right to:

  • Access — Request a copy of the personal data we hold about you
  • Correction — Request correction of inaccurate information
  • Deletion — Request deletion of your account and associated data
  • Portability — Request your data in a machine-readable format (CSV exports are available in the dashboard)
  • Objection — Object to certain processing of your data

7. State Privacy Rights (CCPA / VCDPA)

Depending on your U.S. state of residence (e.g., California, Virginia, Colorado), you may have specific rights regarding your personal information, including the right to know what personal information is collected, the right to delete your personal information, the right to opt-out of the "sale" or "sharing" of personal information (note: Holoview does not sell personal information to data brokers), and the right to non-discrimination for exercising these rights. 8. Cookies and Tracking

We use essential cookies and local storage to maintain your session and preferences. We do not use third-party advertising trackers or cross-site tracking cookies. QR code scans are tracked for the purpose of campaign analytics and are logged with timestamps and ad identifiers only.

9. Children's Privacy

The Service is not intended for users under the age of 18. We do not knowingly collect personal information from minors. If we learn that we have collected data from a child under 18, we will delete that information promptly. While members of the public of any age may scan our physical QR codes, the technical data collected from such public scans is anonymous, not linked to personal identities, and not subject to age verification.

10. Changes to This Policy

We may update this Privacy Policy from time to time. Material changes will be communicated via email or a notice on the platform. The "Effective Date" at the top of this page indicates when the policy was last revised.
